Greenfield is pleased to be representing a recognised banking brand who provide services including  fund administration and global custody services to the international asset management industry. Due to a restructure within their Luxembourg office they are now looking to recruit a second Senior Legal Counsel reporting directly to the MD Luxembourg and holding close relationships internationally. The successful candidate will have sound knowledge in financial, banking and general corporate law, and have strong drafting skills. They will be open minded and business orientated, proactive, dynamic and have excellent communications skills.

Your Duties:

Supply legal advice with an intent to limit control and manage legal risk when servicing investment schemes

Provide legal advice to the daily administration of any type of domiciled Luxembourg investment scheme as well as alternative off shore vehicles to whom you shall be the service provider of

Ensure that the legal department is kept up to date on any changes to the law, regulations and company policies that effect the business commercially

Assist in the draft and revision of prospectuses, resolutions and agreements in order to meet client requirements in the context of the legal and regulatory environment and company policies

Liaise with client and external counsel and be a part of the introduction of new business ensuring a smooth transition by preparing and reviewing contractual and general documentation, and responding to questions that may arise in the administration of any investment vehicles.

Provide commercial legal advice to all departments and on a ad hoc bases to company staff at all levels both on a commercial and operational basis

To facilitate service delivery by the staff, to ensure that legal risk is suitably addressed

Ensure that the commercial legal library and admin legal work is kept up-to-date, with a view to addressing and managing the company’s legal risk

Background:

Minimum 7 year professional experience in Luxembourg fund services

Good knowledge of duties and responsibilities of a depositary bank and fund administrator

Member of a European Bar with strong Luxembourg experience (banking OR practice)
